1. AGREEMENT TO TERMS

4. INTELLECTUAL PROPERTY RIGHTS
Unless otherwise stated in writing:
- Clients retain ownership rights to their original manuscripts and content upon full payment.
- GoodSpeed Publishing retains ownership of all preliminary concepts, drafts, templates, graphics, marketing materials, and unpublished design assets until payment is completed in full.
- Any unauthorized use, reproduction, resale, or distribution of Company-created materials prior to full payment is strictly prohibited.
All website content, logos, trademarks, graphics, software, and branding associated with GoodSpeed Publishing are protected under applicable copyright and intellectual property laws.
5. CLIENT RESPONSIBILITIES
You agree to:
- Provide accurate and complete project materials.
- Respond to requests for approvals, revisions, or clarifications in a timely manner.
- Ensure submitted content does not infringe any copyright, trademark, or third-party rights.
- Obtain permissions for all third-party materials included in your project.
You acknowledge that delays in communication or incomplete submissions may impact project timelines.
6. PAYMENT TERMS
6.1 Fees & Billing
All pricing is provided through invoices, agreements, or custom proposals.
6.2 Deposits
Projects may require an upfront deposit before work begins.
6.3 Final Delivery
Final deliverables, editable files, publishing credentials, transfer of ownership, or distribution access may be withheld until all outstanding balances are paid in full.
6.4 Taxes
Applicable taxes, processing fees, or governmental charges may apply depending on jurisdiction.
6.5 Chargebacks
Unauthorized chargebacks or payment disputes for completed or partially completed services may result in immediate suspension of all project work, account termination, legal recovery actions, and revocation of licensing rights.
7. REVISIONS POLICY
Reasonable revisions may be included depending on the purchased service package.
Additional revisions beyond the agreed scope may incur extra charges.
Major project changes, rewrites, redesigns, or scope expansions requested after approval stages may require a revised quote and updated timeline.
8. REFUND & EXCHANGE POLICY
The following services are generally non-refundable once work has commenced:
- Ghostwriting
- Editing
- Formatting
- Cover design
- Marketing services
- Publishing setup
- Scriptwriting
- Website development
- Custom branding services
However, GoodSpeed Publishing may, at its sole discretion, offer service credits or exchanges toward alternative services when appropriate.
Refunds will not be issued for:
- Change of mind
- Delays caused by the client
- Subjective dissatisfaction after approved work
- Failure to review or approve submitted materials
- Services already rendered
If a refund is approved, all rights to drafts, concepts, designs, and deliverables remain the exclusive property of GoodSpeed Publishing unless otherwise agreed in writing.
9. AUTHOR CONTENT & WARRANTIES
You represent and warrant that:
- You own or control all rights to submitted content.
- Your materials do not violate copyright, trademark, privacy, defamation, or other laws.
- Your content does not contain unlawful, abusive, misleading, or infringing material
You agree to indemnify and hold harmless GoodSpeed Publishing from any claims arising from the content you provide.
10. PUBLISHING & DISTRIBUTION
GoodSpeed Publishing assists clients with publishing and distribution platforms; however:
- We do not guarantee book sales, rankings, bestseller status, media placements, or financial success.
- Distribution platform approvals are subject to third-party policies and guidelines.
- We are not responsible for platform suspensions, rejections, account limitations, or algorithmic changes imposed by third-party marketplaces.
Clients are responsible for maintaining compliance with third-party publishing platform requirements.
11. MARKETING DISCLAIMER
Marketing and promotional services are provided on a best-effort basis.
We do not guarantee:
- Sales volume
- Advertising performance
- Return on investment
- Media coverage
- Viral reach
- Lead generation outcomes
- Bestseller rankings
GoodSpeed Publishing agrees to maintain reasonable confidentiality regarding client manuscripts, unpublished materials, and sensitive project information.
We may showcase completed projects, book covers, testimonials, or public releases for portfolio and promotional purposes unless otherwise agreed in writing.
Marketing results vary based on market conditions, audience behavior, genre, budget, timing, and numerous external factors beyond our control.
12. CONFIDENTIALITY
GoodSpeed Publishing agrees to maintain reasonable confidentiality regarding client manuscripts, unpublished materials, and sensitive project information.
We may showcase completed projects, book covers, testimonials, or public releases for portfolio and promotional purposes unless otherwise agreed in writing.
13. PROHIBITED USES
You may not use our Services to:
- Violate any laws or regulations
- Infringe intellectual property rights
- Publish defamatory, hateful, obscene, or fraudulent content
- Upload malware or harmful code
- Engage in harassment, abuse, or fraudulent activities
- Misrepresent your identity or authority
We reserve the right to refuse or terminate services for any prohibited conduct.
14. THIRD-PARTY SERVICES
Certain services may involve third-party providers, including:
- Amazon KDP
- IngramSpark
- Barnes & Noble Press
- Google Books
- Apple Books
- Meta advertising platforms
- Printing vendors
- Payment processors
GoodSpeed Publishing is not liable for outages, policy changes, delays, restrictions, or errors caused by third-party providers.
15. TERMINATION
- These Terms are violated
- Payments are overdue
- Fraudulent activity is suspected
- Abusive behavior occurs toward staff or contractors
Termination does not relieve outstanding payment obligations.
16. DISCLAIMER OF WARRANTIES
ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOODSPEED PUBLISHING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND RESULTS OR PERFORMANCE EXPECTATIONS.
We do not warrant uninterrupted service, error-free performance, or guaranteed commercial success.
17. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOODSPEED PUBLISHING SHALL NOT BE LIABLE FOR:
- INDIRECT DAMAGES
- CONSEQUENTIAL DAMAGES
- LOST PROFITS
- LOST DATA
- BUSINESS INTERRUPTION
- REPUTATIONAL HARM
- LOST SALES OR OPPORTUNITIES
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE CLIENT FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.
18. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless GoodSpeed Publishing, its owners, employees, contractors, affiliates, and partners from any claims, damages, liabilities, costs, or legal expenses arising from:
- Your content
- Your misuse of the Services
- Your violation of these Terms
- Intellectual property disputes involving submitted materials

By using our Services, you consent to receive communications electronically, including invoices, contracts, notices, updates, and marketing communications.

Each party shall bear its own legal costs unless determined otherwise by the arbitrator.

GoodSpeed Publishing shall not be liable for delays or failures caused by events beyond reasonable control, including:

- Cyberattacks
- Government actions
- Labor shortages
- Pandemics
- Vendor disruptions
25. ENTIRE AGREEMENT
These Terms constitute the complete agreement between you and GoodSpeed Publishing regarding the Services and supersede all prior agreements, communications, or understandings.
